PROPOSED NEW RULES AND AMENDMENTS

New Rules

These are intended to update the Club Rules in line with latest RYA advice on Club Governance and to protect Trustees and committee members.

3.13 The property of the Club shall be vested in up to three Trustees who may be appointed and / or removed by the General Committee and the property of the Club shall be vested in them to be dealt with by them as the General Committee may from time to time direct by resolution (of which an entry in the Minute Book shall be conclusive evidence). For the avoidance of doubt, no Trustee shall be entitled to vote on any proposed resolution put before the General Committee. The Trustees shall be indemnified against risk and expense out of the Club property. The Club shall maintain trustee insurance indemnity cover for as long as such cover is available in the insurance market on competitive financial terms. The Trustees shall hold office until death or resignation or until removal from office by the General Committee.  For the purpose of giving effect to the nomination of a new Trustee, the President is empowered as the person to appoint a new Trustee of the Club within the meaning of section 36 of the Trustee Act 1925.

15.2    A trustee appointed after 1 September 2022 shall be deemed to automatically retire from his position as a trustee on attaining his 75th birthday.

16.3    Any Club member and/or any member of the General Committee entering into a contract on behalf of the Club in accordance with the directions of the General Committee shall be indemnified against risk and expense out of the Club property and assets and insurances.

16.4    In so far as it is legally possible to do so, the members of the Club shall not incur personal liability for the negligent acts or omissions or contractual obligations of the Club and shall be indemnified against risk and expense out of the Club property and assets and insurances.

Amended Rules

Thes eare corrections of typos and simplification of language. There are no changesto the intent of the Rules.

(8.0)   The senior officers of the Club (“Senior Officers”) shall consist of a President, a Commodore, a Vice Commodore (Commodore Elect), a Rear Commodore Waterside, a Rear Commodore Beach side, Honorary Secretary and Honorary Treasurer.  The following officers shall be members of the General Committee: Welfare Officer, Membership Secretary,Waterside Programme Manager, Communications’ Officer, Social Secretary, House Secretary, Galley Secretary: to be elected at the Annual General Meeting.  The Commodore on completing his/her term of office shall be elected President.  If the role of President shall become vacant, then the Past Commodores shall elect a President.

(9.1)   The General Committee shall consist of all of the officers referred to in Rule 8 above, up to 3 ex-Commodores and not more than four members elected at the AGM together with the Club Trustees pursuant to Rule 15.  In the event of a vacancy onthe General Committee, the General Committee shall have the power to co-opt members to fill the vacancy until the next General Meeting.

11.0    The General Committee shall have power to make byelaws and policies and a Members Code of Conduct for the regulation o fthe affairs and conduct of the Club providing the same are not inconsistent with these Rules. Such byelaws and policies and Code of Conduct shall be posted in a prominent place on the Club premises and be circulated to members as soon as practicably possible and in any event within ninety (90) days of their adoption and shall thereafter be binding on all members.

12.0    An Annual General Meeting of the Club shall be held in every year on August Bank Holiday weekend unless determined otherwise by the General Committee, but in any event not later than the 31st October to transact the following business:

14.0    A General Committee meeting shall be called by any two Senior Officers of the Club by giving not less than seven days’ notice in writing. Any such meeting may be a meeting at which the parties attend physically or, if the Commodore so determines, by means of telephonic or video conference.

19.0    In these Rules, the singular shall include the plural, and vice versa, and reference to one gender includes a reference to any gender.

                           The 70th AGM - 29th August 2022

Commodore's report

Covidrestrictions ended in Wales on 30 May so we have had a much more normal season.

Therefurbishment of the club frontage was finished on budget and in time and forEaster thanks to Graham Barlow and a great team of volunteers.

AtSpring Bank Holiday we celebrated our 70th Anniversary on the same weekend thatthe Queen was celebrating hers. The evening went down well and was very busy.

Unfortunatelywe needed to cancel the offshore race this year. It takes a massive amount oforganisation to put on a race like this and with volunteers and committees abit thin this year we did not have the resources to run it properly.

Membershipis relatively healthy this year and although the weather has been good, it appearsthat less people are using the club and sailing.

JuniorSail Training was once more a great success with further training for assistantdinghy instructors and first aid also organised. Thanks very much to Nicoll andall her instructors and helpers.

Weare catching up on our social events with three successful meal evenings,regular afternoon teas and a very well attended sports day and sandcastlecompetition last weekend.

AsI am stepping down as Commodore this year, I would like to thank all the memberswho have served on various committees and other volunteers for their supportboth to me and the Club over the last 2 years

Hon Secretary’s Report

There have been five general Committee Meetings this year. Therehave been two Zoom meetings and three meetings in the Clubhouse. My thanks toeveryone who has helped to make the meetings as smooth as possible. I havecompleted all the usual secretarial duties in terms of GDPR and the managementof Club Policies.

I will have been Hon Secretary for seven years and I ampleased to hand the jpost over to the very capable hands of John Thorpe.

I would like to thank all those who have worked with meduring my time as Hon Secretary and finally I would like to thank Linda for herassistance in proof reading and generally keeping me in order.

2021 Financial StatementsCommentary

Income & Expenditure Account

Income

2021 membership income was broadly very similar to thelevels reported in 2020, which comes against the backdrop of a fee rate freezein 2021.

Boat berth fee income, sail training fee income, galleyincome, social income and club clothing sales income all increasedsignificantly in comparison to 2020 and returned to levels more consistent withthe pre-Covid-19 period.

Grant income of £1,250 reflects a 25% release to the incomeand expenditure account of the Isle of Anglesey £5,000 grant received in 2020for the Club’s new tractor. We took delivery of the tractor in early 2021 andwill be releasing the grant over a four year period to reflect the benefitreceived over the asset’s useful expected lifetime.

Overall, income in 2021 reduced by £2,324 (5.8%) incomparison to 2020. However, in 2020, the Club benefitted from grant incometotalling £11,000, therefore, on a like-for-like trading basis, the income ofthe Club actually increased in 2021 over the prior year.

Expenditure

Notable items to comment on within the Club’s expenditurewould include the “negative cost” Gas and Electricity line which shows anincome to the Club of £499. In November 2021 following the submission of anelectricity meter reading, Scottish Power contacted me to say that our accountwas running into a large credit balance. The level of the credit was in factcirca £1,350. This had accumulated over the past few years as a result ofScottish Power billing us on estimated meter readings and on the basis of theClub being used for full 12 month periods with increased power usage in thewinter months. I requested a refund of the credit and have amended our monthlydirect debit payments to a much more sensible £32 a month. No doubt with risingelectricity costs, this monthly number will need to be increased, however, I amin the process of getting a smart meter installed which will take the guesswork away from the billing.

Bank charges reflect the Go Cardless merchant banking feeswe incur for transacting through WebCollect for online payments. The figure ishigher in 2021 with a return of social events.

IT and computer costs increased in 2021 as we took onadditional and enhanced services in relation to the website and IT hosting.

Waterside equipment costs increased in 2021, reflecting thereturn to a fuller sailing programme compared to 2020 and the completion of theBosun’s locker project and the fitout thereof.

Repairs and maintenance costs in 2021 were up against prioryear reflecting the return to more normal conditions at the Club and a catch-upfollowing a year of extended closures. Specific projects within the cost centreinclude the repairing of the Club steps and the continued fit-out of theBosun’s locker.

Surplus / (Deficit)

In 2021, the Club reported a surplus of £4,584. It was ayear of significant investment for the Club and hopefully the membership hasenjoyed the fruits of the Committee’s labour in bringing the standard of theClubhouse and the facilities forward.

Whilst the £4,584 is a lower surplus than we have seen inyears gone by, it should be viewed against the backdrop of a significantdepreciation charge to the accounts, which in aggregate across all cost centresamounted to £9,692.  Depreciation chargesare non-cash charges to the income and expenditure account designed to spreadthe cost of assets bought by the Club over their expected useful economic lifetimes.In 2020, the aggregate depreciation charges released to the income andexpenditure account totalled only £6,525 (due to there having been moreinvestment in late 2020 and 2021 in fixed assets). The difference of £3,166 isa factor in the lower surplus reported this year compared to last.

Balance Sheet

The total value of the Club’s balance sheet grew by circa£4,500 in 2021.

Fixed asset investment in 2021 amounted to £24,794 andcentred around the Clubhouse improvements (i.e. external appearance, awningsetc.) and the new tractor that was brought into use in early 2021.

Cash at bank at 31 December 2021 was £16,980. As I look atthe account balances today, we have a total of £27,730 available to us.Undoubtedly, there will be further costs to come between now and the end of theyear and so the cash balance is likely to reduce rather than increase, but I amfully expecting the 2022 accounts to show an enhanced surplus in comparison to2021.

Summary

After a good number of years in the role of Treasurer, I nowpass the baton on to Jonnie Monk who has been working closely with me for thepast 12 months.  I have absoluteconfidence that the transition to Jonnie running the finances of the Club willbe a smooth one and I know he already has some exciting ideas which shouldimprove members’ financial interactions with the Club.
